The brief, and our answer

You asked for a campaign to lift the share price. We are proposing something different, for commercial reasons before legal ones.

The brief was content, reputation management and paid media, with the share price as the objective. We are not going to build that, and the reason is not squeamishness — it is that the promotional route and the uplisting route are mutually exclusive, and only one of them survives contact with a brokerage compliance desk.

OTC Markets Group's published Stock Promotion Policy allows it to deny OTCQX or OTCQB approval to companies with an active promotion, refer cases to the SEC and FINRA, and require the issuer to publish a confirm-or-refute release. It applies a public megaphone flag to the quote page; per OTC Markets' 2018 announcement launching the flag, it remains until fifteen days after the last promotional material is distributed.

Worth saying plainly, because it is in your favour: OTC Markets removed BBLC's Shell Risk designation in March 2025. That is a real asset you have already banked. The residual shell signal is a third-party data-provider sector tag, not an OTC Markets flag — and a promotion flag is the fastest available way to invite the question to be reopened.

What follows is the alternative, and it is more aggressive than it sounds. We intend to market your products harder than any agency in this market. We simply will not market your stock.

Diagnosis

This is not an awareness problem, and treating it as one is what destroys microcaps.

BBLC has had no difficulty generating visibility. The InfernoGrid announcement syndicated to Globe and Mail, Morningstar, Nasdaq, StockTitan, Barchart and a dozen aggregators. Visibility has been achieved. The stock is at three cents.

What is missing is verifiable substance per unit of announcement. In roughly twelve months the company introduced four platforms. Two are held at 19.9%, which confers no control and no consolidation. None has demonstrated revenue; group revenue is $594.

The market has priced that pattern accurately. And the corollary is the part worth sitting with: more content of the current type lowers the multiple rather than raising it. Announcement velocity without revenue is the most reliable tell of a promoted shell, and both institutional screens and experienced retail traders are calibrated to spot it.

04
The fork

Two paths, and they cancel each other

The same board decision sits at the top of both. Only one ends somewhere you want to be.

Path A

Paid investor promotion

  1. 1Paid content and ads reach retail investors
  2. 2Volume and price move on promotional traffic
  3. 3OTC Markets applies a promotion flag to the quote page
  4. 4OTCQB application becomes deniable while the promotion is active
  5. 5Flag persists 15 days past the last material; referrals to SEC and FINRA available
  6. 6Shell Risk question reopens; traffic stops, price fades, flag and file remain

Outcome: a spike, and the tier is gone.

Path B

Operating substance

  1. 1Disclosure and asset remediation; PCAOB audit engaged
  2. 2Second independent director seated; audit committee constituted
  3. 3Products marketed to customers — unregulated, and our strongest capability
  4. 4Named reference customers and first recurring revenue
  5. 5Audited financials; OTCQB criteria met and application filed
  6. 6Tier upgrade restores brokerage access and coverage

Outcome: a re-rating with a floor under it.

05
The prize

The OTCQB gap, itemised

Under OTCQB Rules v6, effective 6 April 2026. Note the initial bid test rose from $0.01 to $0.05 — several widely-cited law-firm summaries, and OTC Markets' own application guide, still print the old figure.

RequirementStandardBBLC today
Minimum bid price$0.05 on each of 30 consecutive days before admission~$0.030 — fails
Audited financialsPCAOB auditor, unqualified opinion, GAAP/IFRSNot evidenced — fails
Independent directorsTwo, plus a 2-member audit committee — Alternative Reporting companiesOne — fails absent the 90-day phase-in

Beneficial shareholders≥50, each holding ≥100 sharesLikely passes — verify
Transfer agentIn the Verified Shares ProgramVerify Transfer Online
Ongoing bid price$0.01 on 1 of every 30 daysPasses

Three of seven fail, and two of the three are fixable with money and time rather than market conditions. Engage a PCAOB auditor and seat a second independent director, and the gap narrows to price alone — at which point the board has legitimate instruments for the remainder that no marketing campaign can substitute for.

06
Our own exposure

Why no credible agency will run Path A for you

Section 17(b) of the Securities Act reaches any person who circulates a communication describing a security for consideration received directly or indirectly from an issuer, without disclosing the receipt and the amount. Four features are routinely misunderstood, and all four cut the same way.

There is no fraud element. It is a pure disclosure violation, charged standalone. "Everything we published was true" is not a defence. The amount must be disclosed, not just the fact — boilerplate does not satisfy the statute. "Indirectly" captures the whole chain, including shares, warrants and prospective consideration. And there is no de minimis floor: the SEC brought a public proceeding over $5,300.

An investor relations firm posted promotional tweets about client securities across nine clients and did not disclose roughly $35,000 of compensation. Charged under 17(b) only — no fraud, no misstatement, no investor loss alleged. Result: $35,000 disgorgement, a $35,000 penalty, and a separate $7,500 penalty against the principal personally.

In re Irth Communications, LLC and Andrew Haag — SEC Release 33-10805, 22 July 2020
CaseYearActorOutcome
Severson / EnergyTech2020IR consultant$5,300 fee → $9,786 total
Irth Communications2020IR firm$74,234; principal penalised separately
Goldman Small Cap Research2021Research firm29 tweets → $83,583
CSIR Group2018Promotional firmPermanent penny stock bars on $8,571 of fees
Lidingo Holdings2020Promotional firm$704,672 top judgment; 5-year penny stock and O&D bars

The pattern: the SEC charges the firm and its principal individually, charges 17(b) without alleging fraud, and small fees do not mean small consequences. An agency that would run Path A for you is an agency that has not read these cases — which tells you what its other advice is worth.

07
Assets

What you have that is genuinely valuable — and what needs narrowing

Capistral is the most valuable asset in the portfolio, and your deck under-sells it. The model has a public, reported proof point: OTC Markets Group's issuer-paid Corporate Services line reported $13.4M in Q2 2026, up 14%, on subscription pricing — roughly 38% of its quarterly revenue, against a universe of about 2,700 quoted companies. Dealroom and PitchBook are the same lesson at larger scale. Subscription pricing is simultaneously the proven business and the only legally safe design, because any fee that varies with a transaction is what makes a platform an unregistered broker.

InfernoGrid works if you narrow the claim. The floor of H100 pricing has fallen roughly 70% from a ~$8/hour 2024 peak, and datacenter A6000 capacity is now advertised from $0.35 an hour — which caps what anyone will pay for an unreliable residential card. Salad, the largest consumer-GPU network in operation at ~60,000 daily-active GPUs, agreed a Render Network subnet deal projecting ~$4.3M of year-one revenue. Divide it out — our arithmetic, not theirs — and it implies on the order of $72 of gross revenue per GPU per year.

So the honest product is cheap, fault-tolerant batch inference: image and video generation, transcription, embeddings at volume, LoRA-scale fine-tuning. Every one tolerates a node vanishing mid-job, which is exactly the property consumer hardware forces on you. We sell the constraint as the segment. Marketed that way it is a real business; marketed as "AI infrastructure" it is a claim the first competent diligence call destroys.

One asset needs a copy freeze today. Orvexa's live site calls itself a "premium brokerage-style trading application" and ships Trade, Portfolio and Account Statements surfaces, while your own release confirms no broker-dealer agreement has been executed. Until it is, Orvexa is software licensed to registered firms — never a place where the public trades.

08
The channel program

Six workstreams

Every line below is work Oction already does at scale. What changes on a securities issuer is where the content is allowed to point — so each carries an explicit boundary, and the boundary is the same in all six cases.

The line, stated once. Paid distribution of content about products is ordinary marketing and is unregulated. Paid distribution of content about the security is stock promotion — it triggers Section 17(b) for Oction and its principals, and it triggers the OTC Markets promotion flag that can deny BBLC the OTCQB application. Where any securities-referencing communication is ever paid for, it carries the source and the specific dollar amount of compensation, in the communication itself, above the fold.

01Content production & editorial

USD 20,000 / 2 months

Product, technical and issuer-education content built for search, syndication and sales follow-up. Every asset is source-controlled, versioned, and written to the verifiable-fact standard.

  • 1Three reproducible InfernoGrid benchmarks (RunPod Community, Vast.ai interruptible, Salad) with cost-per-1,000-output methodology published.
  • 2Six technical docs and integration guides (ComfyUI node, API quickstart, LoRA fine-tuning, fault-tolerant batch job spec, provider comparison, SLO/SLA template).
  • 3Four Capistral issuer-education guides (disclosure calendar, wire selection, verifiable-fact rule, OTCQB readiness scorecard).
  • 4Two quarterly shareholder letters with prior-commitment scorecard, hits and misses.
  • 5Site copy passes for infernogrid.com and capistral.com: value proposition, product pages, legal footer, schema.org markup.
  • 6One investor-facing one-pager and one Capistral sales deck, securities-counsel reviewed.

In scope

Product, technical and issuer-education content. Corporate letters. Case studies once customers exist. Published benchmarks including the cases where we lose - the highest-trust asset in developer marketing.

Out of scope

Any content whose subject is the share price, the valuation, or why the company is undervalued. No price targets, no comparables, no "poised for growth."

02Syndication & paid distribution

USD 20,000 / 2 months

Our syndication network is the most valuable capability we bring to this account and the most dangerous one to point in the wrong direction. The SEC's April 2017 sweep charged 27 parties over more than 250 articles that read as independent commentary but were paid placements. Lidingo produced a $704,672 judgment; CSIR produced permanent penny stock bars on $8,571 of fees. A high-volume network pointed at a three-cent ticker is that fact pattern with better distribution. Pointed at a GPU marketplace, it is just good media buying.

One platform rule decides the account architecture. LinkedIn's advertising policy lists "Penny stocks" among prohibited financial products and reserves the right to terminate accounts for repeat violations. If a ticker or an IR link appears anywhere in an ad's click path, including the landing page, the campaign is advertising a penny stock and the ad account is at risk. That is why the destination allowlist is an account-level control rather than a policy reminder.

  • 1Media plan with destination allowlist locked to infernogrid.com and capistral.com; no ticker, IR link, or stock reference in any click path.
  • 2Paid campaigns on LinkedIn, X, Reddit and niche developer newsletters targeting AI/ML and infrastructure buyers.
  • 3Working media included at stated amounts; additional spend billed at cost with prior written approval and full disclosure.
  • 4Weekly pacing dashboard and monthly placement report with audience, cost, creative and compliance checks.

In scope

Paid distribution of product and brand content to developer, AI/ML and business audiences. Destinations restricted at account level to infernogrid.com and capistral.com. Landing pages with no ticker, no IR content, no stock reference anywhere in the click path. Full paid-placement disclosure wherever a platform or the FTC requires it.

Out of scope

Syndication of any content describing BBLC securities, the ticker, the share price or the investment case - to any audience, on any network, at any budget.

03Press & earned media

from USD 5,000 / month

Product press in AI-infrastructure and fintech trade outlets, built on the benchmark data. Factual corporate announcements through a recognised wire - normal issuer practice, and a disclosure obligation under the OTCID rules regardless. The discipline that makes press work here: no release goes out without at least one third-party-verifiable fact. An executive appointment is not an operating fact. A platform "introduction" is not an operating fact.

  • 1Target media list of 20-30 AI-infrastructure, fintech and OTC issuer trade journalists and outlets.
  • 2Two press releases per month, each anchored to a verifiable operating fact (customer, audit milestone, product release, executive appointment is not sufficient alone).
  • 3Wire distribution through ACCESS Newswire or equivalent with published rate card; counsel sign-off before release.
  • 4Pitch tracking, journalist follow-up, and a monthly earned-media report (placements, reach, tone, compliance review).

In scope

Trade press, journalist relationships, factual wire distribution, executive commentary on the compute market where BBLC has something real to say.

Out of scope

Paid "investor awareness" placements. Sponsored stock features. Investor-newsletter buys. Paid coverage designed to read as independent editorial about the security.

04X / Twitter program

from USD 5,000 / month

This is the exact channel that produced the governing precedent, so it gets the sharpest line. Irth Communications was charged under 17(b) alone for promotional tweets across nine clients with ~$35,000 undisclosed - $74,234 plus a personal penalty on the principal. Goldman Small Cap Research was 29 tweets over five years for $83,583. Tweets are the enforcement surface in this category. We run BBLC's product accounts, not its ticker.

  • 1Three to four product-account posts per week across build-in-public, benchmark threads, documentation, changelogs and developer conversation.
  • 2One corporate account post per week of factual, non-promotional corporate news.
  • 3Reply and support triage for product and technical questions.
  • 4Monthly content calendar, tweet-level compliance review, and engagement report.

In scope

Product accounts: build-in-public, benchmark threads, documentation, changelogs, support, developer conversation. A corporate account posting factual news organically, with no paid amplification.

Out of scope

Paid promotional posts about the security. Finfluencer or KOL engagement. Cashtag campaigns. Any paid amplification of a post referencing the ticker.

05Reddit & technical community

from USD 5,000 / month

The people who would pay for cheap batch inference are already in these subreddits discussing exactly this problem. But we read every target subreddit's actual current rules before pricing this line, and they are far more restrictive than the category assumes: r/StableDiffusion confines paid services to a monthly event window, r/singularity removes "any posts with potentially financial motives," and r/MachineLearning permabans and retroactively purges accounts for campaign activity. So most of this budget goes to Reddit Ads, which are permitted, rather than organic posting, much of which is not. An agency pitching you $5,000/month of organic Reddit posting for a paid service either has not read the rules or is planning to break them.

  • 1Reddit Ads campaigns with community, keyword and interest targeting, labelled as advertising.
  • 2Disclosed, value-first participation in r/LocalLLaMA (affiliation disclosure, 1-in-10 cap), r/SideProject, and r/comfyui after modmail approval.
  • 3Community rules audit refreshed monthly; modmail before first post in any new subreddit.
  • 4Monthly ad performance and organic participation report with compliance checklist.

In scope

Reddit Ads with community and keyword targeting - reaching the same audiences legitimately and labelled as advertising. Disclosed, value-first participation in r/LocalLLaMA (mandatory affiliation disclosure, 1-in-10 cap), r/SideProject, and r/comfyui after modmail. Modmail before the first post in every subreddit.

Out of scope

r/pennystocks, r/stocks, r/wallstreetbets and every investor-facing subreddit - no activity, paid or organic. No alternate or pseudonymous accounts anywhere, ever: undisclosed-identity posting is the conduct at the centre of Lidingo and CSIR, and it is a termination event under our own contract.

06AI search & answer-engine optimisation

from USD 5,000

The newest workstream and, for you specifically, the one with the most immediate demonstrable return - because what AI assistants currently say about BBLC is wrong. See panel 09.

  • 1Canonical entity definition for BBLC, InfernoGrid, Capistral, Koilink and Orvexa with consistent naming and ticker mapping.
  • 2schema.org Corporation markup and sameAs graph across owned properties, Crunchbase, LinkedIn and verified industry directories.
  • 3Crawler policy that allows retrieval bots and blocks training bots; robots.txt and Cloudflare rulesets configured.
  • 4Stale-record correction plan with source list (OTC Markets, data aggregators, directories) and owner for each fix.
  • 540-query baseline across four AI engines in week one, re-run monthly with scored answer-change report.

In scope

Canonical entity definition and consistent naming. schema.org Corporation markup - note tickerSymbol is defined on Corporation, not Organization - plus the sameAs graph that lets a retrieval system resolve BBLC to the right entity. A crawler policy that allows the retrieval bots and leaves the training bots to the board, since blocking training costs nothing in visibility. Correcting stale records at source. A scored 40-query baseline across four AI engines, re-run monthly.

Out of scope

Any attempt to influence what AI systems say about the share price, valuation or investment merits. Fabricated citations, fake reference pages, or content published purely to game retrieval. llms.txt is shipped as hygiene, not a deliverable with a return.

09
AI search

Right now, an AI assistant may tell your investors you sell cosmetics.

Third-party data providers still describe Blockchain Loyalty Corp. as a company that "distributes cosmetic products" — a legacy of the Belle Bonica Luxe Corp. identity — and classify it under Shell Companies in the Financials sector. Those records are exactly what large language models and AI search surfaces retrieve.

So an investor, a prospective GPU customer, or a broker asking an AI assistant what BBLC does can be told it is a cosmetics distributor with no operations. Meanwhile the InfernoGrid domain did not resolve on our checks, which means there is no authoritative page for a retrieval system to prefer over the stale record.

This is the cheapest high-return fix available to you. It requires no ad budget, no promotion, and no regulatory exposure whatsoever — the objective is accuracy, and accuracy is sufficient, because the true description of BBLC is considerably better than "cosmetics distributor." It is also measurable: we baseline what four AI systems say about you in week one, and report the same query set every month.

Every line above is specified to deliverable level - production counts, cadence, named channels, budget splits between working media and fee, and per-workstream targets - in the companion Channel Program & Scope of Work. Working media is included at stated amounts within each line; increases are billed at cost with no markup on prior approval. All fees are in USD.

Phase 0 is a prerequisite, not an upsell. Nothing in workstreams 01–06 is safe to run on top of the current asset base: the corporate deck presents two securities regulators' marks as technology partners, a pre-launch app displays $12,880 of user earnings, and the live Orvexa site calls itself a brokerage-style trading application with no executed broker-dealer agreement. Spending USD 75,000 driving traffic at those assets amplifies the problem rather than solving it. Triage first — it is four weeks and it pays for itself on the findings alone.

11
Reputation management

One service we offer, and are excluding on purpose

Our capability deck lists reputation management including link removal, article de-indexing and Google review campaigns. Those are legitimate tools in most commercial contexts and we are good at them. They are excluded from this engagement, and the exclusion is deliberate.

BBLC is a security that retail investors buy. Suppressing, de-indexing or burying accurate critical information about a quoted issuer is not reputation management in that context - it is concealment from the people the disclosure regime exists to protect, and it is what converts a marketing engagement into an enforcement narrative.

What we will do instead: correct demonstrably false statements of fact, and publish enough legitimate, accurate, authoritative content that the true picture is what ranks and what AI systems retrieve. That is workstream 06 - and on a company whose public record is currently inaccurate in the company's own disfavour, it is worth more than suppression would be.

  • 1Monthly audit of the top 20 AI-search and search-engine results for BBLC and each platform.
  • 2Correction log for demonstrably false factual claims, with evidence, source outreach and resolution tracking.
  • 3Publication schedule for accurate, authoritative content designed to outrank stale or misleading records organically.
12
Sequence

Twelve months

Q1 · M1–3

Foundation

Triage complete. Three sites rebuilt. Disclosure calendar live — OTCID has no cure periods, so a missed filing means automatic removal. AI-search baseline captured and stale records corrected. Three benchmark studies published; ComfyUI node shipped. Capistral issuer guides and outbound live. Announcement discipline in force.

Q2 · M4–6

Traction

Paid search and syndication live. First design partners onboarded and first case study out. Supply-side onboarding opens with conservative earnings copy. First paid Capistral subscriptions. Audit engagement and second independent director announced — both genuine operating facts.

Q3 · M7–9

Proof

Two to three named reference customers. Usage and retention metrics published. First quarter with material revenue — the single most important content event of the year. OTCQB gap scorecard; application prepared.

Q4 · M10–12

Consolidation

Full-year audited results if the timeline holds. OTCQB application filed once criteria are met. Annual review published against every commitment made in Q1 — hits and misses both.

13
Accountability

What we report, and what will never appear in an Oction report

Measured monthly
  • Paying accounts and GPU-hours sold
  • Recognised revenue and gross margin per GPU-hour
  • Node utilisation rate — the metric that decides whether InfernoGrid is a business
  • Capistral paid subscriptions, MRR, logo retention
  • How four AI systems describe BBLC and each platform
  • Disclosure obligations met on time — target 100%
  • OTCQB criteria met — target 7 of 7
  • Releases containing a verifiable fact — target 100%
Never measured
  • Share price or market capitalisation
  • Trading volume or shareholder count
  • Social or message-board sentiment
  • Retail investor acquisition cost
  • Search visibility for "BBLC stock"
  • Any investor-audience metric

If you ask us for the right-hand column, the answer is that we do not measure it, because measuring it would make this a promotion campaign — and the documented reason we are not running one is the flag on panel 04.

One honest caveat about the left column: if utilisation has not cleared a defined floor by month nine, that is a strategic finding we report, not a number we spin.

14
Terms

Five non-negotiables

  • 1An explicit exclusion of investor-facing promotional services from scope.
  • 2A Section 17(b) compliance clause binding both parties.
  • 3Named securities counsel with review rights over releases, investor-facing copy, the Capistral pricing page, all Orvexa copy, and all GPU-owner earnings copy.
  • 4Stop conditions: we resign if BBLC commissions investor promotion through anyone, if a 17(b) disclosure is diluted, if counsel review is bypassed, if we are asked to suppress accurate information, or on material insider distribution coinciding with campaign activity.
  • 5No compensation to Oction in BBLC securities, warrants, or any instrument whose value depends on the share price.

That last term is the one that makes the rest credible. An agency paid in stock is paid in the very thing its campaign is meant to move. That is the conflict the Supreme Court described in SEC v. Capital Gains Research Bureau (1963): the incentive shifts from an asset's long-run value to the short-run price response to one's own output. No amount of policy language survives it.

15
The ask

Approve Phase 0.

You have a three-cent stock, a shell classification and $594 of revenue. The campaign you were contemplating puts a promotion flag on your quote page, which can deny you the OTCQB upgrade — the one change that would actually reprice this company — and the flag outlives the campaign.

What you have that is genuinely valuable is Capistral, in a market where the incumbent reports $13.4M a quarter from issuer-paid services, and an InfernoGrid thesis that works once you narrow it to batch inference. Spend two quarters getting audited, seating a director, and putting real customers on both platforms. Announce only facts.

If revenue arrives and the tier follows, the price takes care of itself. If it does not, no amount of advertising was going to fix it — and you would have paid for the flag as well.

Phase 0 is four weeks at USD 14,000 fixed. The USD 75,000 core program starts the day it clears - USD 89,000 to first invoice, from USD 37,500 monthly thereafter. The Channel Program & Scope of Work specifies every deliverable, cadence and target behind those numbers, and lists in §12 the six things we could not verify rather than estimating them.
